Welcome to VivPaws™ (the "Site"), operated by VivPaws ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, products, services, and any related content or communications (collectively, the "Services").

BY ACCESSING, BROWSING, OR USING THIS SITE, OR BY PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SITE AND SERVICES.

We reserve the right to update, modify, or replace any part of these Terms at our sole discretion and at any time without prior notice. Changes become effective immediately upon posting to the Site. Your continued use of the Site or Services after any modifications constitutes your binding acceptance of the revised Terms.

  1. Definitions

"Products" refers to all pet supplement products, goods, and merchandise sold through the Site, including but not limited to VivPaws™ Taurine Supplement and any future product offerings.

"Customer," "you," or "your" refers to any individual or entity accessing the Site, creating an account, or purchasing Products.

"Order" refers to any request to purchase Products submitted through the Site.

"Content" refers to all text, images, graphics, logos, trademarks, videos, product descriptions, reviews, and other materials displayed on or made available through the Site.

"Intellectual Property" refers to all trademarks, trade names, logos, copyrights, patents, trade secrets, and proprietary information owned by or licensed to the Company.

  1. Eligibility

By using this Site and placing an Order, you represent and warrant that: (a) you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) you have the legal capacity and authority to enter into a binding agreement; (c) you are not barred from using the Site under any applicable law; and (d) all information you provide to us is truthful, accurate, current, and complete.

  1. Account Registration

Certain features of the Site may require you to create an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. We reserve the right to suspend or terminate any account at our sole discretion.

  1. Products and Product Information

4.1 Product Descriptions

We make reasonable efforts to describe and display our Products accurately. However, we do not warrant that Product descriptions, photographs, pricing, ingredient lists, or other Content are accurate, complete, reliable, current, or error-free.

4.2 Product Availability and Pricing

All Products are subject to availability. Prices displayed are in United States Dollars (USD) unless otherwise indicated and do not include applicable taxes, shipping, or handling fees. We reserve the right to modify pricing at any time without prior notice. Pricing errors do not obligate us to fulfill Orders at the incorrect price.

4.3 Not Veterinary Advice

OUR PRODUCTS ARE PET SUPPLEMENTS AND ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE OR MEDICAL CONDITION IN ANIMALS.

You should always consult a licensed veterinarian before introducing any supplement to your pet.

4.4 Results Disclaimer

Individual results from using our Products may vary. Any testimonials, reviews, or success stories displayed on the Site represent individual experiences and are not guarantees of specific outcomes.

  1. Orders and Payment

5.1 Order Acceptance

Placing an Order constitutes an offer to purchase. All Orders are subject to acceptance at our sole discretion. We reserve the right to refuse, cancel, or limit any Order for any reason, including but not limited to product availability, suspected fraud, pricing errors, or violation of these Terms.

5.2 Payment

Payment must be made in full at the time of purchase using an accepted payment method. You represent and warrant that you are authorized to use the payment method provided.

5.3 Sales Tax

You are responsible for all applicable sales, use, excise, and other taxes associated with your Order.

  1. Subscriptions and Recurring Orders

Certain Products may be available on a subscription basis ("Subscribe & Save"). By enrolling in a subscription, you authorize us to automatically charge your designated payment method on a recurring basis at the interval selected at checkout until you cancel.

To cancel a subscription, contact us at Support@vivpaws.com at least five (5) business days before your next scheduled billing date. Cancellation requests received fewer than five (5) business days before the billing date may not take effect until the following billing cycle, as the upcoming charge may already be in processing.

Subscription cancellations apply to future billing cycles only. Orders that have already been charged, processed, or entered the fulfillment queue at the time of the cancellation request cannot be cancelled, reversed, or refunded on the basis of the cancellation. Such orders will be shipped and delivered as normal and are subject to the return and refund terms outlined in Section 8.

Subscription pricing is subject to change. We will notify you via email of any pricing changes before your next billing cycle.

  1. Shipping and Delivery

We currently ship to addresses within the United States. Shipping timelines, processing estimates, tracking information, delay disclaimers, and all related shipping terms are governed by our Shipping & Return Policy, which is incorporated into these Terms by reference.

Risk of loss and title for all Products pass to you upon delivery of the Product to the shipping carrier. VivPaws is not responsible for any loss, theft, damage, or delay that occurs after the Product has been transferred to the carrier.

Orders enter the fulfillment queue immediately upon placement. We do not offer cancellations, refunds, or credits solely on the basis of shipping or delivery delays. If your order has not arrived more than seven (7) business days past the estimated delivery window measured from the date of dispatch, contact Support@vivpaws.com and we will investigate.

  1. Return and Refund Policy

8.1 90-Day Money Back Guarantee

We offer a 90-day money back guarantee from the confirmed date of delivery on all VivPaws™ Products, subject to the eligibility conditions below. Full return procedures, eligibility requirements, and refund processing details are set forth in our Shipping & Return Policy, which is incorporated into these Terms by reference.

8.2 Eligibility Conditions

To be eligible for a return and refund, all of the following must be satisfied:

The return request must be submitted within ninety (90) calendar days from the confirmed delivery date.

The Product must be in its original, unopened, factory-sealed condition.

Opened, used, partially consumed, tampered, or altered Products are NOT eligible for return under any circumstances.

You must contact Support@vivpaws.com to receive a Return Merchandise Authorization (RMA) number before sending any Product back. Returns received without a valid RMA number will not be accepted and may be returned to sender at the Customer's expense.

The Product must be received at our designated facility within fourteen (14) calendar days of the RMA issuance date.

8.3 Return Shipping

All return shipping costs are the sole responsibility of the Customer. VivPaws is not responsible for return shipments that are lost, stolen, or damaged in transit. We strongly recommend using a trackable shipping method. Refunds cannot be processed until the Product physically arrives at our facility and passes inspection.

8.4 Non-Returnable Items

Opened, used, unsealed, or partially consumed Products.

Products without original packaging or with broken, missing, or tampered safety seals.

Gift cards and e-gift cards.

Free samples, promotional items, and bonus gifts, including the complimentary measuring scoop.

Products purchased from unauthorized third-party sellers or marketplaces. VivPaws Products are sold exclusively through vivpaws.com.

Products purchased during clearance, liquidation, or final sale events.

8.5 Refund Processing

Once we receive and verify your return, we will process your refund to your original payment method within ten (10) business days. Original shipping and handling charges are non-refundable. Any free gifts, bonus items, or promotional extras included with the original Order must be returned as well; if not, their retail value will be deducted from the refund amount. Refunds are issued to the original payment method only.

8.6 Damaged or Defective Products

If you receive a damaged, defective, or incorrect Product, contact Support@vivpaws.com within seven (7) calendar days of delivery with photographic evidence and your order number.

8.7 Chargebacks and Payment Disputes

We are committed to resolving any issue directly and fairly. If you have a concern about your Order, please contact us at Support@vivpaws.com before initiating a chargeback or payment dispute with your bank, credit card company, or payment provider.

Filing a chargeback or payment dispute without first contacting VivPaws and allowing us a reasonable opportunity to resolve the issue may result in any or all of the following:

Immediate suspension or permanent closure of your VivPaws account.

Cancellation of any pending, processing, or in-transit Orders.

Forfeiture of any applicable refund, store credit, guarantee, or promotional benefit.

Permanent ineligibility for future purchases from VivPaws.

Referral of the matter to a collections agency or initiation of legal proceedings if the dispute is determined to be fraudulent, abusive, or filed in bad faith.

VivPaws reserves the right to contest any chargeback or dispute it deems unjustified and to recover all associated costs, including chargeback fees, administrative costs, and legal expenses.

8.8 European Union Customers

EU customers have the right to cancel or return within 14 days under the EU Consumer Rights Directive, in addition to our 90-day guarantee.

8.9 Return Policy Abuse

VivPaws reserves the right to limit, modify, or refuse returns, refunds, or future orders for Customers who abuse our return policy, engage in serial or suspicious chargeback activity, or otherwise act in bad faith.

  1. Intellectual Property

All Content on the Site is the exclusive property of VivPaws or its licensors and is protected by copyright, trademark, and other intellectual property laws. No Content may be reproduced, distributed, modified, or used without prior written consent.

  1. User Content and Reviews

If you submit reviews, comments, or other content, you grant us a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, adapt, publish, and display such content for any purpose, including marketing and advertising, without compensation or attribution.

  1. Prohibited Uses

Purchasing Products for resale without our written authorization.

Placing fraudulent Orders or using stolen or unauthorized payment information.

Attempting to circumvent, disable, or interfere with security features of the Site.

Using the Site to transmit spam, malware, or harmful communications.

Impersonating any person, entity, or VivPaws representative.

Engaging in any activity that could disable, overburden, or impair the Site.

Harvesting or collecting personal information of other users.

Using the Site in violation of any applicable local, state, federal, or international law.

  1. Disclaimer of Warranties

THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVPAWS AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE, SERVICES, OR PRODUCTS, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

  1. Indemnification

You agree to indemnify, defend, and hold harmless VivPaws and its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, violation of these Terms, infringement of any third-party rights, or any misrepresentation made by you.

  1. Assumption of Risk

By purchasing and administering any VivPaws™ Product to your pet, you acknowledge and voluntarily assume all risks associated with the use of such Products, including but not limited to allergic reactions, adverse effects, or interactions with other supplements or medications.

  1. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.

  1. Third-Party Links and Services

The Site may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party sites and do not endorse them.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

  1. Dispute Resolution and Arbitration

19.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact us at Support@vivpaws.com and attempt to resolve the dispute informally for at least thirty (30) calendar days.

19.2 Binding Arbitration

If we are unable to resolve the dispute informally, any dispute, claim, or controversy arising from or related to these Terms or the Services shall be resolved through final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

19.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

19.4 Small Claims Exception

Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

  1. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, carrier failures, supply chain disruptions, labor disputes, or acts of war or terrorism.

  1. Electronic Communications

By using the Site, you consent to receive electronic communications from us, including order confirmations, shipping updates, promotional emails, and policy changes. You may opt out of promotional emails at any time by contacting Support@vivpaws.com or using the unsubscribe link in any email.

  1. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

  1. Entire Agreement

These Terms, together with our Privacy Policy and Shipping & Return Policy, constitute the entire agreement between you and VivPaws regarding your use of the Site and Services, and supersede all prior agreements, understandings, and representations.

  1. Waiver

The failure of the Company to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

  1. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms without restriction.
